ABU DHABI MEDIA NETWORK’S CONTENT ACQUISITION SYSTEM TERMS AND CONDITIONS OF USE

Welcome to Abu Dhabi Media Network’s Content Acquisition System situated at https://content.admn.ae/ (the “System”).
The System is owned by Abu Dhabi Media Company, a public joint stock company established in accordance with the laws of the Emirate of Abu Dhabi and registered with the Media Zone Authority, Abu Dhabi with Company Registration Number 1, having its headquarters in Al Muroor District, 15th Street, P. O. Box 63, Abu Dhabi, United Arab Emirates.

BY USING THE SITE, YOU ACCEPT THESE TERMS

WE MAY MAKE CHANGES TO, SUSPEND OR WITHDRAW THE SYSTEM

We may update and change the System from time to time for any reason including but not limited to reflect changes to our products, our users' needs and our business priorities.
Abu Dhabi Media Company makes no declarations or acknowledgments whatsoever with regards to suitability, functionality, availability or operation of the System. We do not guarantee that the System, or any content on it, will always be available or be uninterrupted. The System may be temporarily unavailable due to maintenance or technical issues. We may suspend or withdraw or restrict the availability of all or any part of the System for business and operational reasons at any time. We will try to give you reasonable notice of any suspension or withdrawal.
Abu Dhabi Media Company does not warrant that the System will be uninterrupted or error-free, or the defects on the System will be corrected or that the System or the servers that make the website available are free from viruses.

The System may be accessed from third-party links over which we have no control. We make no warranties or representations of any kind as to the accuracy, currency, or completeness of any information contained in such websites and shall have no liability for any damages or injuries of any kind arising from such content or information. PROHIBITED USE

You may not use the System
• In any way that breaches any applicable local, national or international law or regulation.
• In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
• To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards below.
• To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
• To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

These content standards apply to any and all material which you contribute to the System (Contribution). We will determine, in our discretion, whether a Contribution breaches the Content Standards.
A Contribution:
• Must be accurate (where it states facts).
• Only contain opinions that are genuinely held.
• Must comply with applicable law.
A Contribution must not:
• Be defamatory of any person.
• Be obscene, offensive, hateful or inflammatory.
• Include content that would be considered a criminal offence under applicable laws.
• Infringe any copyright, database right or trade mark of any other person.
• Be likely to deceive any person.
• Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
• Contain illegal content or promote any illegal content or activity.
By submitting content or idea on the System, you undertake and confirm the following:
• you own and control all the rights of the content submitted, or otherwise you have the lawful right to submit the content on the System;
• you will transparently disclose regarding any third party that you have contracted with or plan to contract with regards to the rights of the submitted content;
• the rights of the content presented to us does not violate these Terms of Use and will not violate any rights or cause harm to any person or entity.
Additionally, you grant Abu Dhabi Media Company the right to pursue at law any person or entity that violates Abu Dhabi Media Company’s rights in the Content by a breach of these Terms of Use.

LIMITATIONS OF LIABILITY

Under no circumstances, including, but not limited to, negligence, shall Abu Dhabi Media Company be liable to you for damages of any kind whether based on tort, contract, strict liability or otherwise, including, without limitation, any direct, indirect, incidental, special, punitive, exemplary or consequential damages resulting from or in relation with:
• the System or the information it contains or any errors or omissions in the technical operation of the System, even if Abu Dhabi Media Company has been advised of the possibility of such damages, whether caused in whole or in part by negligence, acts of God, telecommunications failure;
• or theft or destruction of, or unauthorized access to the website;
• any delay or partial or total failure by Abu Dhabi Media Company to perform any of its obligations to you under these Terms of Use or Privacy Policy of Abu Dhabi Media Company;
• any Content stored or uploaded by you, nor for any loss or damage thereto.

INDEMNITY

You shall indemnify and hold Abu Dhabi Media Company and its affiliates and each entity’s directors, officers and employees harmless in respect of any claim, loss, liability, damage or expenses (including reasonable legal fees and expenses) arising out of or in relation with:
• any proposal submitted, the company submitting the proposal should own the rights or authorize who owns the rights,
• any breach of any warranty, pledge or obligation in or arising out of these Terms of Use.
• your use of the System in violation of these Terms of Use,
• consequences arising from your use or conduct on the System.

PRIVACY

We respects the privacy of its System users. Please refer to Abu Dhabi Media Privacy Policy, which discloses the privacy practices with respect to information that you may disclose or collect from the System. Any modifications to Abu Dhabi Media Privacy Policy will be handled in accordance with the terms set forth therein.

GOVERNING LAWS

These Terms of Use shall be governed by and construed in accordance with the laws of the United Arab Emirates and the parties agree that any legal actions, proceedings or disputes related to use of the System and these Terms of Use shall be submitted to the exclusive jurisdiction of the Courts of Abu Dhabi, United Arab Emirates.

Miscellaneous

If any provision of these Terms of Use is held to be unlawful, void or unfeasible, the remaining provisions of the Agreement will remain in full force and effect.
